1. Acceptance of Terms
By accessing or using Bizvinc ERP software and services ("Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use our Service. These Terms apply to all visitors, users, and clients of Bizvinc.
2. Description of Service
Bizvinc provides cloud-based Enterprise Resource Planning (ERP) software as a Service (SaaS), including modules for accounting, inventory management, HR & payroll, CRM, sales, manufacturing, and related business functions. The Service is provided on a subscription basis.
3. Account Registration
To use our Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security of your password and account
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use of your account
4. Subscription and Payment
4.1 Fees
Service fees are as agreed in your signed proposal or service agreement. Fees are non-refundable except as expressly set forth in these Terms.
4.2 Payment Terms
- 40% of implementation fee due upon project sign-off
- 30% due upon mid-implementation milestone
- 30% due upon go-live and final handover
- Hosting and support fees due monthly or annually in advance
4.3 Late Payment
Late payments may result in suspension of services. We reserve the right to charge interest on overdue amounts at the rate of 1.5% per month.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Transmit harmful, offensive, or illegal content
- Attempt to gain unauthorized access to any systems
- Interfere with or disrupt the integrity of the Service
- Reverse engineer, decompile, or disassemble the software
- Resell or sublicense the Service without written permission
- Use the Service for competitive analysis against Bizvinc
6. Intellectual Property
The Service and its original content, features, and functionality are owned by Bizvinc and are protected by international copyright, trademark, and other intellectual property laws. You retain ownership of your data entered into the system.
7. Data Ownership and Privacy
You own your data. Bizvinc will not access, use, or disclose your business data except as necessary to provide the Service, as required by law, or with your explicit consent. Upon termination, you may request an export of your data within 30 days.
8. Service Level Agreement (SLA)
8.1 Uptime Commitment
We target 99.5% monthly uptime for the hosted service, excluding scheduled maintenance windows.
8.2 Support Response Times
- Basic Support: 48-hour response during business hours (Mon–Sat, 9AM–7PM PKT)
- Premium Support: 4-hour response with dedicated support contact
9. Limitation of Liability
To the maximum extent permitted by applicable law, Bizvinc shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business, arising from your use of the Service, even if we have been advised of the possibility of such damages.
Our total liability for any claim arising from these Terms shall not exceed the amount paid by you for the Service in the three months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Bizvinc, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from your use of the Service or violation of these Terms.
11. Termination
Either party may terminate the Service agreement with 30 days written notice. Bizvinc may terminate or suspend access immediately if you breach these Terms. Upon termination, your right to use the Service ceases immediately.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Pakistan. Any disputes shall be subject to the exclusive jurisdiction of the courts of Karachi, Pakistan.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of significant changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the new Terms.
